This text addresses why corporate boards aren't measuring up to expectations, and how they need to be changed to prevent future crises. Rooted in a long historical perspective and broad international experience, it offers a flexible framework for formulating board composition and duties as well as step-by-step guidance on the issues to consider in designing effective boards. It argues that what's being missed in the contemporary debates and response to the corporate governance crisis is the growing gap between what's expected of board members and what they are actually able to accomplish.
